Terms of Service
Last updated: July 11, 2026
These Terms of Service (“Terms”) govern your access to and use of ShadowEars (the “Service”), operated by Hudsonly LLC (“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms.
1. The Service
ShadowEars lets you record meetings, generate transcripts and summaries, organize them, and access them — including through the Model Context Protocol (MCP). Features and limits depend on your plan.
2. Accounts
You are responsible for your account, for keeping your credentials secure, and for all activity under your account. You must provide accurate information and be at least the age of majority in your jurisdiction.
3. Recording and consent
You are solely responsible for complying with all laws that apply to recording conversations, including obtaining the consent of every participant where required. You represent that you have the necessary rights and permissions to record, upload, and process any content you submit to the Service.
4. Subscriptions, billing, and usage
Paid plans are billed in advance on a recurring monthly basis. Some plans include usage-based overage charges (for transcription minutes beyond your plan’s allowance), which are billed to your payment method on your next invoice at the rate stated on our pricing page. Payments are processed by Stripe; by subscribing you also agree to Stripe’s terms. Fees are exclusive of taxes unless stated otherwise.
5. Cancellation and refunds
You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. Refunds are handled as described in our Refund & Cancellation Policy.
6. Acceptable use
You agree not to:
- record or process content without the required consent or legal right;
- use the Service for unlawful, harmful, or infringing purposes;
- attempt to disrupt, reverse engineer, or gain unauthorized access to the Service; or
- resell or provide the Service to third parties except as expressly permitted.
7. Your content
You retain all rights to the recordings, transcripts, and other content you submit (“Your Content”). You grant us a limited license to host, process, and transcribe Your Content solely to provide the Service to you. We do not sell Your Content. Our handling of data is described in the Privacy Policy.
8. Third-party providers
The Service may integrate transcription and AI providers you choose or that we operate. When you configure your own provider, your use of that provider is also subject to its terms.
9. Warranties and disclaimers
The Service is provided “as is” without warranties of any kind. Transcriptions and summaries are generated automatically and may contain errors; you should not rely on them as a verbatim or legal record.
10. Limitation of liability
To the maximum extent permitted by law, Hudsonly LLC will not be liable for any indirect, incidental, or consequential damages, and our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.
11. Changes
We may update these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use after changes take effect constitutes acceptance.
12. Governing law
These Terms are governed by the laws of the State of New Mexico and the United States, without regard to conflict-of-laws rules. Hudsonly LLC is organized in New Mexico, USA.
